These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HorseSource USA ("Company," "we," "us," or "our"), governing your access to and use of the HorseSource USA mobile application, website located at horsesourceusa.com, and all related services (collectively, the "Service").
By creating an account, listing a business, browsing the Service, or otherwise accessing any portion of the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are 18 years of age or older, that you have the legal capacity to enter into these Terms, and that your use of the Service does not violate any applicable law or regulation.
We reserve the right to refuse service, terminate accounts, and remove or edit content at our sole discretion, without notice, for any reason or no reason.
The Service connects horse owners and equine enthusiasts ("Horse Owners") with independent equine service providers including farriers, trainers, veterinarians, transportation providers, boarding facilities, and barn help providers ("Service Providers"). HorseSource USA acts solely as a neutral technology platform that enables Service Providers to advertise their services and Horse Owners to discover those services.
WE ARE NOT A PARTY TO ANY AGREEMENT BETWEEN HORSE OWNERS AND SERVICE PROVIDERS. ANY TRANSACTION, ARRANGEMENT, SERVICE, OR RELATIONSHIP ENTERED INTO BETWEEN A HORSE OWNER AND A SERVICE PROVIDER IS SOLELY BETWEEN THOSE PARTIES. WE EXPRESSLY DISCLAIM ALL LIABILITY ARISING FROM ANY SUCH RELATIONSHIP.
We do not verify, investigate, or guarantee any of the following with respect to any Service Provider listed on the platform:
YOU RELY ON LISTING INFORMATION AND HIRE ANY SERVICE PROVIDER ENTIRELY AT YOUR OWN RISK. WE STRONGLY ENCOURAGE YOU TO INDEPENDENTLY VERIFY CREDENTIALS, LICENSES, INSURANCE, AND REFERENCES BEFORE ENGAGING ANY SERVICE PROVIDER.
By creating a listing on HorseSource USA, Service Providers represent, warrant, and agree that:
Service Providers acknowledge that HorseSource USA may remove any listing at any time, for any reason, including but not limited to reports of misconduct, inaccurate information, or violation of these Terms, without notice and without liability to the Service Provider.

Service Providers must create an account to list their business. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@horsesourceusa.com of any unauthorized use of your account.
We reserve the right to suspend or terminate your account at any time, for any reason, including violation of these Terms, without liability to you.
Certain features of the Service, including but not limited to provider listings, featured placements, and premium tiers, may require payment of fees ("Fees"). We reserve the right to introduce, modify, or discontinue fees at any time with reasonable notice.
All Fees are non-refundable except as expressly stated at the time of purchase or as required by applicable law. We are not responsible for any fees charged by your financial institution in connection with payments.
Payment processing is handled by third-party processors. Your use of payment services is subject to the terms and privacy policies of those processors. We are not liable for any errors, outages, or actions of third-party payment processors.
The Service and all content, features, and functionality thereof — including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof — are owned by HorseSource USA or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
By submitting listing content, photos, descriptions, or other materials to the Service, you grant HorseSource USA a worldwide, royalty-free, non-exclusive license to use, reproduce, display, and distribute such content in connection with operating and promoting the Service.
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, HorseSource USA expressly disclaims all warranties, including but not limited to:
No advice or information obtained from HorseSource USA, whether oral or written, shall create any warranty not expressly stated in these Terms.
To the maximum extent permitted by applicable law, HorseSource USA, its officers, directors, employees, agents, licensors, and service providers shall not be liable for any:
IN NO EVENT SHALL HORSESOURCE USA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO HORSESOURCE USA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
THESE LIMITATIONS APPLY WHETHER THE LIABILITY ARISES FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF HORSESOURCE USA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of damages. If you reside in such a jurisdiction, our liability is limited to the greatest extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless HorseSource USA and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
The Service may contain links to third-party websites, applications, or services that are not owned or controlled by HorseSource USA. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services. We encourage you to review the terms and privacy policies of any third-party services you access.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service ("Dispute") shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in the state of your residence or another mutually agreed location.
Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
You have the right to opt out of this arbitration agreement by sending written notice to hello@horsesourceusa.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which HorseSource USA operates, without regard to its conflict of law provisions. To the extent arbitration does not apply, you consent to the exclusive jurisdiction of the state and federal courts located in that jurisdiction.
We reserve the right to suspend or terminate your access to the Service, remove your listing, or delete your account at any time, with or without cause, with or without notice, and without liability to you. Grounds for termination include but are not limited to violation of these Terms, fraudulent or misleading listings, reports of abuse or misconduct, or any conduct we determine to be harmful to other users or to the Service.
Upon termination, your right to use the Service immediately ceases. All provisions of these Terms that by their nature should survive termination — including ownership, warranty disclaimers, indemnification, and limitations of liability — shall survive.
We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. For material changes, we will provide notice via email (for registered providers) or a prominent notice within the Service. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
It is your responsibility to review these Terms periodically. If you do not agree with the modified Terms, you must stop using the Service.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and HorseSource USA regarding the Service and supersede all prior and contemporaneous agreements. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
